Participation and the parties

By using Ondoc, you agree to these current Provider Terms. "Participant" means the individual Provider or the identified Practice / Group participating through its authorized representative. "Provider" means the individual licensed healthcare professional who personally renders care. A Practice / Group is the party to its Marketplace financial and settlement relationship; its representative is not personally the owner of practice funds merely by being a member or representative. Each Provider retains individual credentials, licensure, eligibility, professional identity, clinical authorship and provider records. Clinical duties apply personally to the rendering Provider; the Participant is responsible for its entity, administrative and settlement duties and ensuring participating Providers comply.

Participation requires no separate signature, acceptance checkbox, agreement token, version approval or additional agreement-related activation. Existing identity, credentials, licensing, operational, payer and service eligibility and Admin-controlled Marketplace ON/OFF remain separate. Marketplace OFF means no public direct bookings. Other networks and brands retain their applicable terms or addenda.

02

Participation channels and selection

The Participant is the contracting party for its approved participation: direct Marketplace bookings, Ondoc assignments, or both. Ondoc connects patients with eligible clinicians. A practice's participation does not approve any individual Provider, create clinical access, or substitute for each Provider's verified credentials, scope, licensure, network eligibility and availability.

For direct Marketplace care, the patient selects the actual eligible Provider; the practice cannot silently substitute a different clinician. For assigned care, Ondoc may make assignments available under its existing assignment authority. Individual assignment assignment authority and compensation remain separately recorded where applicable.

Participation is nonexclusive unless an approved written addendum states otherwise. Ondoc guarantees no minimum bookings, assignments, hours, revenue or compensation. Each Provider may render services only while individually eligible for the relevant patient location, profession, service and network.

03

Independent Clinical Judgment

Provider retains sole responsibility for professional medical judgment in every patient encounter.

Ondoc does not require Provider to:

diagnose a particular condition; prescribe any medication; prescribe a particular medication; order a particular test, treatment, referral, or procedure; or reach a particular clinical outcome.

Provider compensation is not conditioned on prescribing, ordering, referring, or selecting any particular treatment.

Provider must recommend only care Provider independently determines is clinically appropriate and within Provider's lawful scope of practice.

04

Provider Qualifications and Continuing Responsibilities

Provider is responsible for maintaining all credentials and professional authority required for the patients and services Provider accepts.

As applicable to Provider's role, this includes:

active professional licensure in each state where Provider treats a patient; required professional or board/national certification; federal and state controlled-substance registrations where required for services Provider is approved to perform; collaborative, supervisory, delegation, or practice arrangements required by applicable law; telehealth and prescribing authority required by applicable law; and any other credential legally required for Provider's profession and approved scope.

Provider must promptly notify Ondoc of any material change affecting Provider's ability to practice, including a license expiration, restriction, suspension, disciplinary action, exclusion, loss of required certification, or controlled-substance registration change.

Provider is not required by these Terms to maintain personal health-insurance coverage.

05

Patient Location and Scope of Practice

Provider must render care only when Provider is professionally authorized to treat the patient in the patient's location and to provide the relevant service.

A verified capability describes only the approved scope for the relevant participation channel. A public Marketplace capability alone does not grant assignment eligibility, and an internal assignment capability alone is not a public Marketplace clinical claim. Neither designation requires any prescription or treatment.

Provider must not rely solely on the fact that Ondoc presented or routed an assignment if Provider knows or reasonably should know that Provider lacks the required professional authority.

Provider must decline or promptly notify Ondoc of an assignment Provider cannot lawfully or appropriately perform.

06

Availability, Marketplace Bookings and Assignments

Each Provider keeps the Provider's availability reasonably current. A practice Participant supplies accurate applicable location and member-availability information through the existing scheduling authority, without creating shared credentials or a separate calendar.

Marketplace appointments remain direct bookings, not assignments; both channels use the existing scheduling authority; overlapping appointments are permitted where open availability covers the scheduled time. Ondoc may offer or schedule assigned care using approved network, patient location, capability, specialty and availability. Assignment volume is not guaranteed. The accepting Provider remains professionally responsible for the care personally rendered.

07

Marketplace Records, Documentation and Completed Assignments

Direct Marketplace care is independently managed by the selected Provider/practice. Provider/practice maintains its clinical record and handles clinical follow-up; originating a booking on Ondoc does not require the independent practice to use Ondoc as its clinical chart or satisfy Ondoc-assignment documentation/completion requirements. Ondoc retains its Marketplace booking, payment and operational record, including booking/attendance status, cancellation or scheduling information, payment reconciliation and other operational status reasonably necessary to administer that booking. Only necessary, lawfully authorized operational information is required; this does not transfer the independent clinical chart to Ondoc or create assignment compensation for Marketplace care.

For Ondoc-assigned care, Provider must timely and accurately document care and provide the required completed and signed clinical documentation through Ondoc's established clinical-completion authority. A Completed Assignment is an eligible service actually rendered with the applicable required documentation completed and signed. Cancelled visits, no-shows, tests, duplicates and fraudulent/nonqualifying encounters do not qualify unless an approved written compensation schedule expressly provides otherwise. Lawful external clinical tools may be used where clinically appropriate; use of a particular dashboard function is not itself a condition of clinical completion. Applicable criteria/rates are retained under existing authorities and material changes apply prospectively.

08

Patient Relationship and Continuity of Care

Patients may be sourced, scheduled, or assigned through Ondoc, but the treating Provider remains professionally responsible for the clinical care Provider personally renders.

Nothing in these Terms limits a patient's lawful right to choose a healthcare professional or obtain care elsewhere.

Provider must act consistently with applicable continuity-of-care, transfer, follow-up, and patient-safety obligations.

A direct Marketplace patient deliberately chooses the Provider/practice. Ordinary continuation of that patient's relationship with the booked Provider/practice is not improper diversion: normal Marketplace follow-up, ongoing independent practice care, practice billing and clinically appropriate communication for that Provider/practice's own direct Marketplace patient are permitted. This does not permit access to unrelated patients or misuse of confidential information. For Ondoc assignments, Provider may not misuse confidential Ondoc patient information or improperly divert or solicit Ondoc-assigned patients in violation of applicable law or an approved policy.

This restriction does not prevent a patient-directed transfer of care, clinically necessary communication, emergency care, or other conduct required by law or professional duty.

09

Professional Standards

Provider must provide care consistent with applicable professional standards and law.

Provider is responsible for determining when telehealth is clinically appropriate and when a patient should instead receive emergency, urgent, in-person, specialist, or other care.

Provider must comply with applicable laws and professional obligations relating to prescribing, controlled substances, required monitoring, informed consent, telehealth, and prescription-monitoring programs where applicable.

An Ondoc service or capability designation does not expand Provider's legal scope of practice.

10

Professional Liability Coverage

Ondoc encourages Provider to maintain professional liability or malpractice coverage appropriate to Provider's practice. Provider remains responsible for complying with any insurance requirements independently imposed by applicable law or professional obligations.

11

Privacy, Security, and Records

The Participant protects information entrusted to it and ensures its authorized personnel comply with applicable privacy, confidentiality, security and records requirements. Each Provider remains responsible for the clinical records and professional obligations of care personally rendered.

Independent Marketplace charts remain with the Provider/practice; Ondoc retains necessary authorized booking, payment and operational records, not a mandatory copy of the independent clinical chart. For assigned care, Providers use Ondoc's established clinical-completion authority and appropriate communication methods, with lawful external clinical tools as permitted under Marketplace Records, Documentation and Completed Assignments.

No party may use personal email, text, cloud storage, devices or other systems that fail applicable privacy/security requirements. Every user's credentials and codes are personal and cannot be shared. Ondoc clinical records remain available under applicable law and lawful retention policies. The Participant and Providers reasonably cooperate with applicable patient access, continuity, audit and retention duties. Legally required privacy/data-processing agreements require separate approved addenda.

12

Compliance and Screening

Provider represents that Provider will not knowingly provide Ondoc services while excluded, suspended, or otherwise prohibited from participating in a healthcare program or professional activity applicable to the assigned service.

Provider agrees to provide accurate credentialing information and to cooperate with reasonable verification and periodic re-verification by Ondoc.

Provider must promptly disclose material sanctions, exclusions, professional disciplinary actions, criminal or regulatory events affecting professional eligibility, or other facts that materially affect Provider's ability to provide assigned care.

13

Ondoc Systems and Access

Participant and Provider access is limited to their authorized roles. Each Provider may access only information necessary for the Provider's legitimate direct Marketplace or assigned patients. A verified practice representative may access only separately authorized practice administrative/settlement information; entity participation or membership alone does not grant access to all member patients or unrelated patients.

No user may share credentials or let another person practice, document, prescribe or sign under the user's identity. Ondoc may restrict applicable entity or individual access for credentialing, safety, privacy, security, compliance or operational concerns. Restriction does not erase historical clinical authorship, booking lineage or required records.

14

Relationship of the Parties

Ondoc and the Participant intend a nonexclusive independent relationship to the extent permitted by law and any applicable state or role-specific approved addendum. Each Provider retains independent clinical judgment. Legal classification follows applicable law, not a contract label or tax form.

Neither a Participant nor a participating Provider is entitled to Ondoc employee benefits merely by these Terms, except where law or an approved addendum requires otherwise. Each party bears its own applicable tax/reporting obligations; Ondoc issues legally required reporting to the appropriate identified payee.

15

No Guaranteed Volume or Exclusivity

Ondoc promises neither the Participant nor any Provider minimum patients, bookings, assignments, hours or earnings. Subject to approved addenda and applicable confidentiality, care and scheduling obligations, the Participant and Providers may participate in other lawful organizations and practices.

16

Suspension and Termination

Ondoc may suspend the Participant's applicable participation or a Provider's public Marketplace visibility/future assignments/access where reasonably necessary for impaired credentials, safety, misconduct, privacy/security, material breach, exclusion or legal ineligibility. A member's individual ineligibility does not itself transfer that member's clinical duties or erase other members' independently valid participation; lawful entity-level restrictions remain possible where necessary.

Either Ondoc or the Participant may terminate this participation by written notice, subject to applicable addenda and active-patient professional obligations. Individual Provider participation under separate assignment terms is handled under that authority, not silently terminated by agreement acceptance status.

Termination does not eliminate properly earned eligible pretermination compensation or verified settlement rights. The Participant, affected Providers and Ondoc cooperate in safe transition or completion of active matters where required. Access and future promotion are revoked or appropriately limited while historical records, clinical authorship and booking/payment attribution are preserved. Termination does not automatically cancel care, charge a card, refund or void a payment.

17

Network Scope

These Terms governs the Participant's applicable Ondoc participation; each Provider's network and public eligibility remain individually controlled. Another network or brand requires its applicable approved terms/addendum.

Accurate eligible Provider and practice profiles may appear on configured Ondoc or affiliated surfaces under Professional and Practice Public Identity. Affiliated visibility does not change clinical scope, licensure, compensation or substantive terms. Visibility, practice membership and entity participation do not themselves grant network membership, assignments or clinical access.

18

Quality, Audit, and Cooperation

Provider agrees to reasonably cooperate with Ondoc's lawful quality, credentialing, compliance, billing, privacy, security, and clinical-record review activities relating to Ondoc-assigned services.

Ondoc may review documentation, credential status, completion records, patient complaints, safety concerns, and other information reasonably necessary to administer the provider network.

Administrative or quality review does not authorize Ondoc to direct Provider's independent clinical judgment for an individual patient.

Provider must reasonably cooperate with lawful payer, regulator, licensing-board, patient-record, or other authorized audits or requests relating to services Provider personally rendered.

19

Patient Complaints, Incidents, and Professional Claims

Provider must promptly notify Ondoc of material patient-safety incidents, privacy or security incidents, formal patient complaints involving Provider's Ondoc services, professional-liability claims relating to Ondoc-assigned care, or other material events that could reasonably affect patient safety, Provider's credentials, or Provider's continued eligibility to participate.

Provider must reasonably cooperate with Ondoc in responding to such matters while preserving Provider's professional obligations and any rights available under applicable law.

20

Personal Performance; No Unauthorized Delegation

Provider may not allow another individual to perform, document, prescribe, sign, or complete an Ondoc assignment under Provider's identity or credentials.

Provider may use lawful clinical or administrative support only where permitted by applicable law, Ondoc policy, and Provider's approved scope, and Provider remains responsible for duties that applicable law assigns to Provider personally.

Provider may not assign or subcontract Provider's clinical participation under these Terms without Ondoc's prior written approval.

21

Professional and Practice Public Identity

While individually active and approved for public visibility through existing network/public eligibility authority, each Provider authorizes accurate verified professional information: name, credentials, specialty, approved photograph/biography, payer/payment facts, attributable verified reviews where applicable and real eligible availability. Ondoc must not knowingly imply an unapproved license, service or geography.

Where the Participant is a separately verified Practice / Group with applicable public eligibility, the Participant authorizes accurate verified practice identity/name, approved logo where available, verified locations, participating eligible Providers, member-attributed specialties/services, verified payer/payment information and applicable real availability through existing authority. A practice may have one Provider if its distinct public identity is genuinely verified; a solo settlement wrapper alone does not justify a duplicate public entity.

Practice information must identify the supplying Provider and relevant location/payer context. It must never imply every member has every capability, license, language or payer. Patients book the actual eligible selected Provider; practice promotion grants neither shared credentials nor substitution rights.

The Participant and Providers promptly report inaccurate/outdated facts. Termination or loss of the relevant eligibility ends future promotion of the affected practice or Provider, while preserving legally required historical bookings, payments, reviews and individual clinical attribution. One member's removal does not rewrite prior care or automatically erase independently eligible remaining members.

22

Notices

Contract/entity notices are delivered to the Participant through its designated authorized contact, approved email/account or another designated lawful method. For a practice, that contact acts for the entity; receiving notice does not make the representative personally the contracting practice. Provider-specific operational/clinical notices go to the relevant Provider's approved contact.

The Participant and each Provider keep their respective contact information current. Any delivery method mandated by law or an approved addendum controls.

23

Entire Agreement; Order of Authority

These Terms and applicable approved addenda, compensation schedules and expressly incorporated policies govern the Participant's participation for the subjects addressed. Separate approved individual assignment terms retain their applicable authority under their existing separate authority.

Applicable law controls first; approved subject-specific addenda next; these Terms next; incorporated operational policies only insofar as consistent with those authorities. Informal communications or platform messages cannot amend these terms outside an approved written version/addendum process.

24

Severability and Waiver

If a provision of these Terms is determined to be unlawful or unenforceable, it will be interpreted or limited to the extent permitted by law, and the remaining provisions will continue in effect to the extent legally permissible.

A party's failure to enforce a provision on one occasion does not waive that provision or the right to enforce it later.

25

Assignment of Contractual Rights

The Participant may not assign contractual rights or obligations without Ondoc's prior written consent. Each Provider's personal clinical duties and credentials cannot be transferred or used by another person; Personal Performance; No Unauthorized Delegation separately governs delegation.

Ondoc may assign these Terms only as permitted by law, preserving the Participant's and applicable Providers' accrued payment rights, required records and patient-care obligations.

26

Assignment compensation and patient billing allocation

An eligible rendering Provider earns compensation under separately applicable approved assignment terms and schedules. Unless a different written rate applies, the current base begins at $30 per eligible Completed Assignment. The rate and attribution at completion remain historical snapshots and accrue once. Insurer denial, adjustment or nonpayment alone does not eliminate qualifying compensation. Duplicate, erroneous or nonqualifying accruals may be corrected through authorized adjustments, never by rewriting immutable entries. Compensation never depends on prescribing, ordering, referrals or an insurer approving treatment. Practice membership or representative status does not transfer individual earning rights. Payout follows the communicated applicable compensation schedule.

For Ondoc-assigned care, Ondoc collects applicable patient payments and submits insurance claims when it elects to bill. Those collections belong to Ondoc under its billing arrangements. Providers and Participants must not separately bill an Ondoc-assigned service unless expressly authorized in writing, and reasonably cooperate with lawful enrollment, attestations, documentation and billing duties. Independent Marketplace insurance billing and collection remain with the applicable provider or practice. No duplicate collection for the same prepaid service is authorized. These arrangements never direct clinical judgment or require an independent Marketplace chart to be transferred to Ondoc.

27

Settlement continuity and payment reversals

Marketplace fees, verified self-pay credits, applicable assignment earnings and authorized adjustments use the existing signed-cent ledger and monthly statements, retaining provider breakdowns and immutable settlement attribution. Practice membership changes never move historical funds. A net owed to Ondoc is invoiced; a net owed to the identified payee is paid under authorized settlement procedures. No stored-card automatic charge is authorized. A statement alone does not establish that an unresolved historical amount is unpaid.

Successful refunds, dispute losses, chargebacks, bank or processor reversals append an immutable negative collection adjustment only for the confirmed reversed amount. Original payments, bookings, provider attribution and collection entries stay intact; prior statements are not rewritten. The earned conversion fee remains unless an authorized fee credit is separately recorded. Financial reversals never erase clinical encounters or automatically cause refunds, voids, cancellations or stored-card charges.

Historical earnings without settlement/payment evidence remain held for Owner reconciliation, excluded from payable balances, invoices, payouts and statements. Paid/unpaid remains unknown until actual reconciliation; no duplicate payment, rate/attribution rewrite or release of hold is authorized. Held rows do not block unrelated legitimate practice operations.

28

Marketplace conversion fee

One successfully submitted qualifying deliberately selected-provider request or booking earns one Marketplace conversion fee, payable by the provider or practice that owns the conversion. The Owner-authorized qualifying self-pay service-price schedule is $50 → $20, $100 → $40 and $150 → $60; other qualifying authored self-pay service-price tiers use the same 40% proportional rule, rounded to the nearest cent. The basis is the existing validated immutable authored transaction price snapshot, not a new price, provider setting substituted for a service price, or an inferred insurance amount. Insurance retains its existing $20 fee because no insurance service-price basis is authorized. The new schedule takes effect prospectively on October 29, 2026 at 00:00 UTC (2026-10-29T00:00:00Z), following publication of these corrected Terms. Qualifying submissions before that instant retain the existing $20 fee. This applies to exact appointments, flexible availability and asynchronous requests. The fee is earned on qualifying successful submission, independently of clinical outcome, attendance, later cancellation, no-show, insurer payment or collection. Scheduling the same request later does not earn a second fee. A checkout that never saves a qualifying submission earns no fee. Historical fees, collections, adjustments and statements are not recalculated or backfilled.

$100$40

Other qualifying authored price40%, rounded to the nearest cent

29

Collections and settlement

Self-pay collection credits are determined only by verified successful Stripe collections at the authorized transaction price. An unpaid submission may earn the conversion fee but never a collection credit. Successful refunds reverse the collection only; the earned conversion fee remains. Original collections and financial records are preserved. Existing provider or practice settlement ownership, statements, adjustments and settlement procedures remain unchanged. Insurance billing and collections remain the provider or practice's responsibility.

30

Clinical care and protected services

Marketplace providers and practices retain responsibility for clinical judgment, care, clinical records and follow-up. Clinical consent requirements remain unchanged. Membership, Clindle, separately governed services, patient prices and assignment compensation continue under their existing rules. A provider-associated Marketplace conversion is not an internal assignment; requests without an associated provider remain eligible for internal assignment under existing rules.

31

Patient cancellation, evaluation and billing protections

For new scheduled bookings whose transaction disclosure presents the rule, patient no-shows and cancellation within 30 minutes before the scheduled appointment are nonrefundable, subject to applicable legal and payer protections. No insurer is billed for unperformed care. A no-appointment request is nonrefundable once the provider completes the clinical evaluation; declining a requested prescription, order or document does not mean an evaluation was unperformed. Eligible completed asynchronous care may be billed to insurance with applicable copays, deductibles and coinsurance. Patient rights and the disclosure in effect at purchase control; prior purchases are not changed retroactively. These patient rules do not reverse an earned Marketplace conversion fee, alter assignment completion authority, or authorize automatic money movement.

32

Privacy, service processing and Google

Ondoc prohibits sale of personal information and unrelated third-party advertising or commercial data sharing. Necessary care, scheduling, billing, payment, support and lawful compliance disclosures remain governed by the Privacy Policy and applicable HIPAA Notice. Stripe processes payments under its applicable policies. A provider connects only the provider's own Google account through the existing Provider Portal authorization. Requested permissions are userinfo.email and calendar.events for provider-specific Ondoc appointment events and Google Meet; other providers' connections are not authorization to use that account. Providers protect calendar appointment information consistent with their professional obligations. This does not certify a third-party system or invent a privacy guarantee.

33

Direct dispute resolution

Patient and provider disputes must be directed to Ondoc at care@ondoc.com or +1-817-668-0320 for direct resolution. The Participant and rendering Provider cooperate with lawful review of relevant records while preserving professional duties and nonwaivable rights. This current direct-resolution provision supersedes conflicting dispute provisions in prior published versions for current participation. No mandatory arbitration, class-action waiver or required court-settlement procedure applies under these current Terms. Prior agreement text and acceptance records remain unchanged as historical evidence; this does not rewrite historical financial records or waive legally protected complaint, regulator, chargeback or other rights.

34

Prospective updates and history

This version replaces separate agreement approval and acceptance requirements and the prior appointment-based Marketplace fee timing prospectively. It does not rewrite prior agreements, acceptance history, financial records or historical conversions, and authorizes no backfill. Authorized updates are published here with a version and change notice, take effect prospectively as stated in the update, and do not interrupt provider operations or require a new acceptance action. Other existing obligations and protections are unchanged.

35

Version history and change notice

2026-10-28-current-provider-terms: Current-only Provider Terms, prospective proportional self-pay fees from October 29, 2026 at 00:00 UTC, patient billing protections, minimum-necessary Calendar data and direct Ondoc dispute resolution. Prior financial records, agreements and acceptance evidence are unchanged.

October 28, 2026: The earlier unsupported fee activation was withdrawn pending corrected-policy publication.

October 22, 2026: Standing participation by using Ondoc replaced separate agreement acceptance and approval requirements. Qualifying submission fees and verified collection credits remain separate.
